TITLE                        AGREEMENT OF SALE


          THIS AGREEMENT, dated this _____ day of ________, 199_ is
INTRO    made by and between __________ ("SELLER") and ________ ("BUYER").

             1. SELLER agrees to sell, and BUYER agrees to buy, one three
DESCRIPTION ________{describe horse here}_____________________ currently
             named "_____" ("HORSE") for the total purchase price of $____
             payable as set forth below.

             2.  This agreement is subject to HORSE passing a physical
CONTIGENCY  examination and Coggins test to be conducted at BUYER's expense.

             3.  If HORSE satisfactorily passes the aforesaid examination
             and test, BUYER shall pay SELLER $____ on __{date}___ and,
PURCHASE     thereupon, SELLER shall transfer his legal title of HORSE to
CLAUSE      BUYER.  BUYER shall from that time be responsible for HORSE's
             upkeep.

             4.  SELLER warrants that, to the best of his knowledge,
KNOWN        HORSE has no unsoundness or health problems on date of sale which
HEALTH      would cause HORSE to be unfit for regular training.

             5.  At BUYER'S option, HORSE will be kept at __{address}__
             after BUYER optains title, until on or before __{date}__,
TRANSPORT    provided that BUYER pays $___ to cover SELLER's expenses
CLAUSE      in caring for HORSE during that period.  BUYER hereby 
             authorizes SELLER to provide veterinarian services for
VET          HORSE in case of emergency at BUYER's expense while HORSE
EMERGENCIES is on SELLER's property.

             6.  SELLER will have HORSE shod, at BUYER's expense, not 
EXTRA $     to exceed $_____.

(Following is the contract which I had with Eleanor.  Please note:
I did NOT have a statement saying that she had legal title in
this contract!  Make sure you include this!!  Also, Paragraph 6
was an option that Eleanor herself included, in case I did not
want the horse in 6 months, and if she were in a position to buy him
back.  This is not usual, but actually protected both of us.


                        AGREEMENT OF SALE


     THIS AGREEMENT, dated this _____ day of September, 1991 is
made by and between Eleanor Vallone ("SELLER") and Elizabeth V.J.
Arbittier ("BUYER").

     1. SELLER agrees to sell, and BUYER agrees to buy, one three
year old dark bay/brown thoroughbred gelding horse currently
named "Spot" ("HORSE") for the total purchase price of $850
payable as set forth below.

     2.  This agreement is subject to HORSE passing a physical
examination and Coggins test to be conducted at BUYER's expense
within two weeks from the date of this Agreement.

     3.  If HORSE satisfactorily passes the aforesaid examination
and test, BUYER shall pay SELLER $850 and other sums due stated
herein and, thereupon, BUYER shall take title to HORSE and be
responsible for its upkeep.

     4.  On March 1, 1992 (or sooner by mutual agreement of the
Parties), BUYER shall have the option, for any reason in BUYER's
sole descretion, to return HORSE to SELLER.  SELLER shall
thereupon return the full purchase price of $850 to BUYER.  This
return privilege is contingent upon HORSE being in the same state
of soundness and lack of blemish as of the date BUYER took title
to HORSE.  In addition, HORSE shall be free of vices (kicking,
biting, striking, or any dangerous habits under saddle) as a
contingency of return option.

     5.  SELLER warrants that, to the best of her knowledge,
HORSE has no unsoundness or health problems which would cause
HORSE to be unfit for regular training.

     6.  At BUYER's option, SELLER shall keep and care for HORSE
on her property, located at {address deleted},
until on or before October 26, 1991 provided that BUYER pays $150
board/month to cover SELLER's expenses in caring for HORSE during
that period.  BUYER hereby authorizes SELLER to provide
veterinarian services for HORSE in case of emergency at BUYER's
expense while HORSE is on SELLER's property.

     7.  SELLER will have horse shod, at BUYER's expense, not to
exceed $35.00.

In witness whereof the Parties, intending to be legally bound,
hereby have set their hand and seal on the day above written.
